These Terms of Service ("Terms") constitute a binding agreement between Global Parts Intel LLC ("Global Parts Intel," "GPI," "we," "us," or "our") and the business, organization, or other legal entity on whose behalf the Service is accessed or purchased ("Customer," "you," or "your").
By creating an account, accessing or using the Service, starting a trial or evaluation, purchasing a subscription, or affirmatively accepting these Terms during checkout, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you accept these Terms on behalf of a company or other organization, you represent and warrant that you have authority to bind that entity to these Terms.
Global Parts Intel is a business-to-business software platform intended for commercial use by businesses operating in or serving the heavy equipment, mining, construction, aggregate, industrial parts, equipment, and related industries. The Service is not intended for personal, family, or household use.
You must be at least 18 years old and legally authorized to enter into this agreement.
Global Parts Intel provides a specialized B2B SaaS platform that may include customer relationship management, quoting, inventory tools, parts and equipment search, supplier management, marketplace functionality, compliance screening, shipping tools, artificial-intelligence-assisted features, customer portals, invoicing, and other business functionality.
Features may vary by subscription plan and may be modified, added, limited, or discontinued from time to time.
IMPORTANT BILLING DISCLOSURE: Certain subscription plans may include a free or promotional evaluation period. The duration of the trial, the price that will apply after the trial, and the applicable billing frequency will be displayed at checkout before you start the trial.
For a seven (7) day GPI Pro trial offered at $0 during the trial, unless canceled before the trial expires, the subscription automatically converts to a paid GPI Pro subscription at the price disclosed at checkout, currently $599.00 USD per month when that is the offer selected.
A valid payment method may be required to begin a trial. Providing a payment method and starting the trial constitutes authorization for Global Parts Intel and its payment processor to store the payment credential as permitted by applicable payment-network rules and to charge the applicable subscription price when the trial expires unless you cancel before the deadline.
Trial or evaluation accounts may be subject to restrictions. Unless expressly authorized by Global Parts Intel, trial accounts may not publish parts or equipment for sale on the live Global Parts Intel Marketplace. Marketplace publishing privileges may require an active paid subscription and additional verification.
Global Parts Intel may refuse, suspend, limit, or terminate trial access where we reasonably believe an account is being used for competitive intelligence, scraping, security testing without authorization, copying, abuse, fraud, or purposes inconsistent with legitimate evaluation of the Service.
AUTOMATIC RENEWAL: Unless canceled, paid monthly subscriptions automatically renew each month and the payment method associated with the account will be charged the subscription price disclosed at checkout, plus applicable taxes, until canceled.
By purchasing a subscription or beginning a trial that converts to a paid subscription, you expressly authorize Global Parts Intel and its payment processor to charge your selected payment method:
Your checkout page or order confirmation controls the specific subscription price, trial duration, and billing interval applicable to your purchase. Subscription charges will continue until the subscription is canceled.
You may cancel a subscription at any time using any cancellation method made available through your account, billing portal, or by contacting Global Parts Intel at [email protected]. Where applicable law requires an online cancellation mechanism, Global Parts Intel will provide one.
To avoid the first subscription charge following a free trial, cancellation must be completed before the trial expires. To avoid a subsequent renewal charge, cancellation must be completed before the applicable renewal occurs.
Cancellation stops future renewals. Unless otherwise required by applicable law or expressly stated in writing, cancellation does not retroactively cancel or refund charges that were validly incurred before the cancellation became effective.
Prices and billing terms are disclosed at checkout. You agree to provide accurate billing information and maintain a valid payment method while a paid subscription remains active.
Except where required by applicable law, expressly stated at checkout, or otherwise agreed by Global Parts Intel in writing, subscription fees already charged are non-refundable and are not prorated for partial billing periods, unused time, or failure to use the Service.
If Global Parts Intel determines that a billing error occurred, we may issue an appropriate correction or refund. Nothing in these Terms limits rights that cannot lawfully be waived.
If you believe a charge was made in error, you should contact [email protected] promptly so that we can investigate and, where appropriate, correct the issue.
By starting a trial or subscription, you acknowledge that charges made in accordance with the trial, subscription, automatic-renewal, and cancellation terms presented and accepted at checkout are authorized recurring charges.
Nothing in these Terms prevents you from exercising legitimate rights available under applicable law or payment-network rules. However, initiating a payment dispute does not itself cancel an active subscription. Unless the subscription is separately canceled, recurring billing may continue to the extent permitted by law and payment-network rules.
Global Parts Intel may provide its payment processor, acquiring bank, card network, issuing bank, or other dispute-resolution provider with relevant records concerning a disputed transaction, including checkout disclosures, acceptance of these Terms, account registration information, login and usage records, communications, invoices, trial information, cancellation records, and other evidence reasonably necessary to demonstrate authorization and delivery of the Service.
You are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account. Accounts and credentials may not be shared with unauthorized persons or organizations.

You may use the Service only for legitimate internal business purposes and in accordance with these Terms. Without our prior written authorization, you may not:
The Service, including its software, technology, interfaces, workflows, designs, databases, documentation, trademarks, content, and other proprietary materials, is owned by Global Parts Intel LLC or its licensors and is protected by applicable intellectual-property laws.
Except for the limited right to use the Service during an authorized subscription or evaluation, no ownership interest or intellectual-property rights are transferred to you.
As between the parties, Customer retains its rights in data Customer submits to the Service. Customer grants Global Parts Intel the rights reasonably necessary to host, process, transmit, back up, display, and otherwise use such data to provide, secure, maintain, and improve the Service in accordance with applicable law and our Privacy Policy.
You represent that you have the necessary rights and permissions to provide data submitted through your account.
Compliance, sanctions, OFAC, export-control, and similar tools provided through the Service are informational aids and do not constitute legal advice or a guarantee of compliance. Customers remain responsible for determining and satisfying their own legal and regulatory obligations.
The Service may display or integrate information, products, links, marketplaces, APIs, shipping services, payment services, or other functionality supplied by third parties. Global Parts Intel does not guarantee the accuracy, availability, pricing, inventory, performance, or continued availability of third-party services or information.
AI-assisted features may generate incomplete, inaccurate, or inappropriate results. Outputs should be independently reviewed before being relied upon for commercial, compliance, purchasing, pricing, technical, or other consequential decisions. You remain responsible for decisions and actions taken using AI-generated output.
Global Parts Intel may provide a marketplace or listing functionality through which eligible subscribers can advertise parts or equipment. Unless expressly stated otherwise, Global Parts Intel is not the seller, purchaser, manufacturer, owner, broker, or guarantor of items independently listed by users.
Users are responsible for the accuracy and legality of their listings and for independently verifying counterparties, product condition, specifications, availability, pricing, shipping, taxes, warranties, and transaction terms.
We may suspend or terminate access to the Service for material violation of these Terms, suspected fraud, security threats, abuse, unauthorized use, nonpayment, unlawful activity, or conduct that threatens the Service, our users, or our legitimate business interests.
You remain responsible for charges validly incurred before termination or cancellation.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GLOBAL PARTS INTEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that parts information, pricing, availability, supplier information, AI output, marketplace listings, or third-party information will be accurate or complete.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOBAL PARTS INTEL LLC AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOBAL PARTS INTEL LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO GLOBAL PARTS INTEL FOR THE SERVICE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Global Parts Intel LLC and its affiliates, owners, officers, employees, contractors, and licensors from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from your unlawful use of the Service, your violation of these Terms, your content or listings, or your violation of another party's rights.
You consent to receive agreements, disclosures, notices, invoices, receipts, and other communications electronically. Electronic acceptance of these Terms and electronic records maintained in connection with your account have the same effect as paper records and signatures to the extent permitted by applicable law.
We may modify the Service and these Terms from time to time. Material changes will become effective as provided in the applicable notice or as otherwise permitted by law. Changes to these Terms will not retroactively alter a transaction in a manner prohibited by applicable law.
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles. To the extent a dispute may properly be resolved in court, and subject to applicable law, the parties consent to the exclusive jurisdiction and venue of the state and federal courts having jurisdiction in Larimer County, Colorado.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Failure to enforce a provision is not a waiver of the right to enforce it later.
These Terms, the Privacy Policy, the checkout disclosures applicable to your purchase, and any written order form or agreement expressly incorporated into them constitute the agreement between you and Global Parts Intel concerning the Service. If a written order form expressly conflicts with these Terms, the order form controls for that transaction to the extent of the conflict.
